Statute of Balkan Geopolitics – Balkan Geopolitics

 This statute will govern the non-profit association. Balkan Geopolitics – Balkan Geopolitics, established in accordance with Law No. 06/L-043 on Freedom of Association in Non-Governmental Organizations in the Republic of Kosovo.

 

Article 1

Name, form and address

  1. The organization will be called Balkan Geopolitics – Balkan Geopolitics
  1. It can also be known as BGP
  1. The organization is a non-profit association, according to the definition given in Articles 16 and 20 of Law No. 06/L-043 on Freedom of Association in Non-Governmental Organizations in the Republic of Kosovo.
  1. The organization shall not distribute any net income or profits as such to any person. The assets, income and profits of the organization shall be used to support the non-profit purposes of the organization and shall not be used to create special individual benefits, either directly or indirectly, for any of the founders, directors, officers, any member of the association, any employee or donor of the NGO. However, the payment of reasonable compensation to such persons may be made for the work that such persons do for this organization.
  1. Any transaction between an NGO and another related organization, or between an NGO and its members, officers, board members, or employees, is prohibited unless the governing body determines, after reasonable investigation, that the transaction is in the best interest, fair, and reasonable of the NGO, and that the NGO could not have secured a more favorable agreement with reasonable efforts and under the existing circumstances.
  1. The organization may engage in economic activities for the purpose of supporting its non-profit activities, in accordance with paragraph 1.4 of this Statute and Article 35 of the Law on the Exemption of Association in NGOs No. 06/L-043, provided that the income generated through economic activities is used exclusively to achieve the goals set forth in this Statute.
  1. The organization has its headquarters in Mati I-Hy-11/42/Pristina.

 

Article 2

founders

  1. The Assembly of Members decides on the authorized representative of the NGO, who represents the organization and receives all official correspondence on behalf of the organization. He or she is responsible for informing the competent authorities of any changes in the data declared upon registration of the organization.

 

Article 3

Purpose

The organization was established with the aim of:

  1. Building investigative journalism capacities throughout the Balkans,
  2. Fighting propaganda and fake news in Kosovo and beyond,
  3. Researching security policies in the Balkans,
  4. Portal formation
  1. Scope of the Organization:
  • Research and Analysis
  • communication
  • Peacebuilding

 

Article 4

membership

  1. Membership in the organization is open to any person regardless of race, color, sex, language, religion, political or other opinion, national or social origin, association with any community, property, economic or social condition, sexual orientation, birth, disability or any other personal status. To become a member of the organization, each interested person must accept the Statute and Mission of the organization and commit to fulfilling the goals of the organization.
  1. The Assembly of Members shall decide whether to require a membership fee from members. In the event of a membership fee being imposed, the Assembly shall decide on the rules and procedures for payment of membership fees, including taking various measures, up to and including expulsion of the member from the organization in the event of non-payment of membership fees.
  1. The membership of any member may also be terminated or suspended by decision of the Assembly of Members in the event of:
  1. Failure to comply with the statute
  2. Ignoring responsibilities, negligence
  3. Absence from work and activities
  4. Disrespect, discrimination and bad behavior towards members and the public.

In the event of suspension, the duration of the suspension will be determined.

  1. Termination or suspension of membership by the Assembly of Members shall be decided by a majority of the members present.

 

Article 5

Assembly of Members

  1. The Assembly of Members is the highest governing body of the organization. It consists of all members of the organization.
  2. The Assembly of Members has the highest responsibility for the policy and financial affairs of the organization. In this context, the Assembly of Members has the authority to elect and dismiss officials in leading positions of the NGO, to approve periodic financial and work reports, to interpret and amend the Statute, as well as to decide on the merger, division or dissolution of the NGO. These responsibilities cannot be delegated to other lower bodies.
  1. In addition to the reserved responsibilities it has, the Assembly of the Association also has the following responsibilities:
  • Elect Board members
  • Approves financial reports

 The Assembly of Members may delegate any of its responsibilities to another intermediate governing body, the Board or even employees of the organization, by decision of the majority of its members, with the exception of responsibilities that are not delegated under Article 31 of Law No. 06/L-043 on Freedom of Association in Non-Governmental Organizations in the Republic of Kosovo and paragraph 2 of Article 5 of this Statute.

 

Article 6

Meetings of the Assembly of Members

  1. The Assembly of Members shall meet at least once a year at the Annual General Meeting (AGM) where the report on the organization's assets, liabilities, income, expenses and programs for the previous year, as well as the plan for the organization's assets, liabilities, income, expenses and programs for the coming year, is reviewed and approved.
  1. The Assembly of Members may also meet in Extraordinary General Meeting (EGM) whenever requested by the half of the members or by other intermediate bodies. Such a request shall be addressed to the Chairperson of the Assembly of Members who shall notify all members of the meeting, in accordance with the procedures set out in the following paragraph.
  1. Written notice of the MFA and/or MFA, including the date and place of the meeting, together with the agenda for the meeting, shall be distributed to all members at least seven days before the day of the meeting.
  1. The meeting requires the participation of more than half of the members. If this quorum is not reached on the first attempt, the meeting will be postponed to a later date and a new notice will be sent to all members.
  1. Each member of the organization has one vote in the Assembly of Members.
  1. Decisions at the Members' Assembly will be made by a majority of the members present.
  1. No member of the Assembly of Members is allowed to participate in the discussion or decision-making on a matter in which he/she has a direct or indirect economic interest. A member of the Assembly of Members is considered to have an economic interest if he/she, or any member of his/her family, has a direct or indirect economic interest.

 

Article 7

 Intermediate governing body (Board)

  1. Based on the responsibilities given by this statute, the intermediate governing body Bordi must act at all times in accordance with the purpose of the organization.
  1. The Board will have the following responsibilities:
  • To propose the authorized representative of the organization,
  • To advise and monitor the implementation of the purpose and activities foreseen by the statute
  • To assist in raising funds with the approval of the Association's Assembly.
  1. The Board is elected by the Assembly of the Association. They shall be elected individually by a majority vote of the members present. The manner of election and the rules of work of the Board members may be regulated by a special Regulation for the work of the Board, which shall be approved by the Assembly of Members by a majority vote.
  1. The Board shall have at least 3 (three) members, one of whom shall be elected as the Chairman of the Board.
  1. Board Members mundar be elected for consecutive terms.
  1. Board members may be dismissed before the end of their term by a majority vote of the Association's Assembly.
  1. The mandate of a Board member terminates:

In case of death,

resignation or

dismissal by the Assembly of Members.

  1. In the event of premature termination of the mandate of a Board member, the Assembly of the Association must elect a successor to serve. for the remaining time.
  1. Decisions in the Board are made by majority vote of the members present.
  1. The Board may decide to refer any matter to the Assembly of Members for decision-making.
  1. No payment or compensation shall be made to Board members without the approval of the Assembly of Members and only when the payment or compensation is reasonable and is made for the work performed for the organization.
  1. No Board member is permitted to participate in the discussion or decision-making on a matter in which he/she has a direct or indirect economic interest. A Board member is considered to have an economic interest if he/she, or any member of his/her family, has a direct or indirect economic interest.

 

Article 8

Officials and Servants

  1. If necessary, the organization hires people to take over the daily tasks of the organization.
  2. Officials shall be employed in accordance with the Labor Law of the Republic of Kosovo, all income and other benefits to be paid to the Official, as well as the obligations and job description and responsibilities of the Official. All payments shall be reasonable and shall be paid only for work performed for the organization.

 

Article 9

Dissolution of the organization

  1. The organization may be dissolved by decision of the majority of the members of the Assembly of Members.
  1. When deciding to dissolve the organization, the Assembly of Members shall indicate the name of the non-governmental organization in the Republic of Kosovo that will receive the remaining assets after the organization's debts have been paid. The selected non-governmental organization must have the same or similar purpose as the organization.

 

Article 10

Statute changes

  1. The current Statute may be amended by a decision of two-thirds of the members present at the Assembly of Members.

  

Article 11

Reporting Periods and Financial Year

  1. The Board and the appointed Officers shall submit annual reports to the Assembly of Members, the MPV or whenever requested by an MFA.
  1. The organization's fiscal year will coincide with the calendar year.
